1. Acceptance of Terms

Welcome to use the USDT payment gateway and settlement services provided by Pay86 (hereinafter referred to as "the Service"). Before using the Service, please carefully read and fully understand all the contents of these Terms of Service (hereinafter referred to as "these Terms").

By registering as a Pay86 user or using the Service, you indicate that you have read, understood, and agreed to accept all contents of these Terms. If you do not agree with any content of these Terms, please stop using the Service immediately.

2. Service Description

2.1 Service Content

Pay86 provides merchants with USDT payment collection, automatic aggregation, settlement and other technical services based on the Tron blockchain, including but not limited to:

• Assigning independent TRC20 USDT collection addresses for end users
• Real-time monitoring of on-chain transactions and providing callback notifications
• Providing custodial or non-custodial fund management models
• Providing API interfaces and related technical documentation
• Providing transaction data query and reconciliation services

2.2 Service Models

Custodial Mode: Merchant funds are held in custody by Pay86, and the platform is responsible for fund aggregation, settlement, and withdrawal services.

Non-Custodial Mode: Merchants manage private keys themselves. Pay86 only provides address transaction monitoring, callback notifications and other technical services, without touching merchant funds.

3. User Registration and Account

3.1 Registration Eligibility

You must meet the following conditions to register and use the Service:

• You are a natural person, legal entity, or other organization with full civil capacity
• You have legitimate business operating qualifications (if applicable)
• Your business activities comply with the laws and regulations of your country/region
• You have not been previously terminated from the Service by Pay86 for violating these Terms or other reasons

3.2 Account Security

You are responsible for properly safeguarding sensitive information such as account passwords and API keys. You shall bear any losses caused by improper safekeeping. If you discover any abnormal activities in your account, please notify Pay86 immediately.

4. Service Fees

4.1 Fee Standards

Pay86 does not charge fees for USDT collection (0% collection rate). Specific aggregation fees, settlement fees, etc., shall be subject to the pricing plan published on the official website.

4.2 Fee Changes

Pay86 reserves the right to adjust service fees. Fee adjustments will be notified in advance through website announcements, emails, or other means. Continued use of the Service is deemed acceptance of the new fee standards.

5. User Obligations and Prohibited Conduct

5.1 Lawful Use

You undertake to use the Service for lawful business activities and shall not use the Service for the following purposes:

• Money laundering, terrorist financing, fraud, gambling, or other illegal criminal activities
• Infringing on others' intellectual property rights, privacy rights, or other legitimate rights and interests
• Spreading false information, malicious software, or conducting network attacks
• Violating the laws and regulations of your country/region regarding cryptocurrencies and payment services
• Any behavior that may damage Pay86's reputation or interests

5.2 Risk Control Cooperation

You agree to cooperate with Pay86 in necessary identity verification (KYC), business due diligence (KYB), and risk control measures. If you refuse to cooperate or provide false information, Pay86 has the right to suspend or terminate the Service.

6. Intellectual Property Rights

All intellectual property rights of Pay86's website, platform, API, documentation, and related technologies belong to Pay86. Without authorization, you shall not copy, modify, distribute, sell, or otherwise use these contents.

7. Privacy Protection

Pay86 values your privacy protection. The manner in which we collect, use, and protect your personal information is detailed in the Privacy Policy. Using the Service indicates your agreement to our handling of your information in accordance with the Privacy Policy.

8. Service Suspension and Termination

8.1 Service Suspension

Pay86 has the right to suspend or restrict your Service in the following circumstances:

• You violate any provision of these Terms
• Your account has security risks or abnormal transactions
• Required by judicial organs or regulatory authorities
• Technical reasons such as system maintenance or upgrades

8.2 Service Termination

You may apply to terminate use of the Service at any time. Pay86 also reserves the right to unilaterally terminate the Service and not refund any fees when you seriously violate these Terms or engage in illegal activities.

9. Disclaimer

To the maximum extent permitted by law:

• Pay86 is not liable for service interruptions or delays caused by force majeure (including but not limited to natural disasters, government actions, network failures, blockchain network congestion, etc.)
• Pay86 is not liable for asset losses caused by users' own reasons (such as loss of private keys, operational errors, etc.)
• Pay86 is not liable for the actions or service quality of third-party services (such as wallets, exchanges, etc.)
• Pay86 is not liable for losses caused by cryptocurrency market price fluctuations

10. Limitation of Liability

Under any circumstances, Pay86's liability for compensation to you shall not exceed the total amount of service fees you paid to Pay86 in the past three months. Pay86 shall not be liable for any indirect, incidental, punitive damages or loss of profits.

11. Applicable Law and Dispute Resolution

11.1 Applicable Law

The conclusion, performance, interpretation, and dispute resolution of these Terms shall be governed by Singapore law.

11.2 Dispute Resolution

Any dispute arising from or related to these Terms shall first be resolved through friendly negotiation between the parties. If negotiation fails, either party may file a lawsuit with a court having jurisdiction over Pay86's place of registration.

12. Amendment of Terms

Pay86 reserves the right to amend these Terms at any time. Amended Terms will be published on the website and notified to you by email or other means. If you continue to use the Service after the amendment, it is deemed that you accept the amended Terms.

13. Miscellaneous

13.1 Entire Agreement

These Terms constitute the entire agreement between you and Pay86 regarding the Service, superseding any prior oral or written agreements between the parties on the same matter.

13.2 Severability

If any provision of these Terms is deemed invalid or unenforceable, that provision shall be deemed severable and shall not affect the validity of other provisions.

13.3 Language

These Terms are provided in Chinese and English. In case of conflict between Chinese and English versions, the Chinese version shall prevail.
